## Job description

O papel de Legal Counsel na Enter é atuar como parceiro estratégico das áreas de negócio, oferecendo suporte jurídico de ponta para operações comerciais, governança corporativa, compliance e privacidade. Você terá contato direto com clientes, parceiros e stakeholders internos, garantindo segurança jurídica nas decisões e contribuindo para a escalabilidade da empresa com agilidade e excelência técnica.

Essa posição terá como principal função apoiar a expansão das operações da companhia para os Estados Unidos e trabalhará diretamente com o CLO, razão pela qual ter cursado um LL.M de ponta e ter experiência relevante em escritório baseado nos Estados Unidos é fundamental. A vaga é inicialmente baseada em São Paulo, de modo que o candidato selecionado para a posição terá a oportunidade de apoiar o time em engajamentos comerciais relevantes, tendo protagonismo e sendo uma referência para a construção do time nos Estados Unidos.

Responsabilidades

US Ops: Contratos Comerciais (US Law): Elaborar, revisar e negociar contratos sob a legislação norte-americana com clientes, fornecedores e parceiros estratégicos, garantindo segurança jurídica e alinhamento com as práticas de mercado dos EUA. Compliance e Regulação (US): Assessorar a empresa quanto às exigências regulatórias federais e estaduais aplicáveis à operação americana, incluindo proteção de dados e normas setoriais relevantes. Apoio à Operação (US): Desenvolver playbooks, templates e processos jurídicos que sirvam de base para a futura estruturação da equipe jurídica nos Estados Unidos. Contratos Comerciais: Elaborar, revisar e negociar contratos complexos com clientes sofisticados (e.g. Mercado Livre, Nubank, Uber), garantindo clareza, segurança jurídica e alinhamento estratégico. Governança Societária: Apoiar rotinas societárias, zelando pela conformidade com políticas internas e legislação vigente. Parcerias e Relações Institucionais: Dar suporte jurídico a negociações e demandas contratuais de parcerias estratégicas, assegurando aderência legal e mitigação de riscos. Gestão de Stakeholders: Manter relacionamento próximo com escritórios externos, coordenando fluxos de trabalho e garantindo qualidade técnica. Atuação Multifuncional: Gerenciar simultaneamente demandas de diferentes áreas, equilibrando visão estratégica e execução prática.
