About the Role: We are looking for a Project Financing attorney to build the commercial division of our legal department. You will need to be both the strategic architect and the day-to-day executor. This is a highly visible role during a critical inflection point for a high-growth late stage start-up company. Roles & Responsibilities: - Build the legal portion of the Commercial (Projects & Supply Chain) side of our business – develop our preferred structures and strategies and the form agreements to go with them - Own the structuring, financing, and delivery of our commercial projects, including SPV documents, loan agreements, security packages, IP licensing agreements, EPC agreements, and the like - Own the legal portion of our global procurement, including master services agreements, POs, warehousing agreements, and similar - Partner with the sales team in winning new projects, including by drafting responses to RFPs - Partner with regulatory teams to ensure the commercial portion of the business remains in compliance with applicable laws - Manage outside counsel as necessary Knowledge, Skills and Abilities: Requirements: - 6+ years of Biglaw and/or in-house legal experience - Deep expertise in project financing and implementation of complex infrastructure projects - Familiarity with commercial procurement for complex infrastructure projects - Desire to independently drive the building of the commercial division of the Legal department - Willingness to directly handle the substantive legal work to limit outside counsel fees - Juris Doctor (JD) degree from an accredited law school - Active license to practice law and in good standing in the United States Bonus Points: - Experience in Chambers ranked Projects / Infrastructure practice - Experience with projects in the Middle East or APAC regions - Start-up experience - FOAK experience - Experience with IP licensing structures and technology-related legal issues.
